Terms & Conditions
These Terms & Conditions (“Terms”) govern your use of Total Agent (“Total Agent,” “we,” “us”) and, in particular, the Founding Reservation described below. Please read the Founding Reservation terms carefully before you reserve — the $95 reservation fee is non-refundable.
1. Founding Reservation Terms
When you reserve a Founding Membership, you pay a one-time $95 reservation fee. By paying it you agree to the following, which are the most important terms on this page:
- The $95 reservation fee is non-refundable under all circumstances. This includes, without limitation, if you change your mind, cancel, decline to continue to a paid subscription, or never use the service. Once paid, the $95 will not be returned to you.
- The fee secures your founding monthly rate ($395/mo), not a launch date or any specific feature. It locks that founding rate for as long as you remain a member and is applied as a credit toward your first month of paid subscription.
- Delays and changes do not entitle you to a refund. The launch date (target August 17, 2026) is an estimate and may change. Delays, rescheduling, changes to the launch timing, the feature set, or the product roadmap do not entitle you to a refund. You are paying to lock a rate, not to guarantee a delivery date or any particular feature.
- After launch, your subscription begins at the founding rate. You may cancel the subscription at any time in accordance with these Terms, but the $95 reservation fee remains non-refundable.
- By reserving, you acknowledge that the fee is non-refundable and you agree not to initiate a chargeback or payment dispute on the basis of delay, non-delivery, or a refund request.
You confirm your understanding of these Founding Reservation terms by checking the acknowledgment box before payment; that acknowledgment is recorded and attached to your payment.
2. Acceptance of these Terms
By reserving a Founding Membership, creating an account, or otherwise using Total Agent, you agree to be bound by these Terms. If you do not agree, do not reserve, create an account, or use the service.
3. Description of service
Total Agent provides an AI assistant (“AGENTA”) and related tools that help licensed real-estate agents manage their email, calendar, contacts, and client relationships. Features, availability, and the launch timeline may change as the product develops.
4. Subscription billing & cancellation
Paid subscriptions are billed on a recurring basis at the rate disclosed at sign-up (the founding rate for reserved members). You may cancel your subscription at any time; cancellation stops future recurring charges and takes effect at the end of the current billing period. Amounts already paid — including the $95 reservation fee — are not refunded on cancellation.
5. Acceptable use
You agree to use Total Agent lawfully and in compliance with all applicable real-estate, communications, privacy, and consumer-protection laws (including fair-housing, anti-spam, and do-not-call rules). You will not misuse the service, attempt to access it in an unauthorized way, or use it to send unlawful, deceptive, or harassing communications.
6. Intellectual property
Total Agent, AGENTA, and all associated software, content, and trademarks are owned by us or our licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the service; they do not transfer any ownership to you. Content you provide remains yours, and you grant us the rights needed to operate the service for you.
7. Disclaimers
The service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or available by any particular date.
8. Limitation of liability
To the maximum extent permitted by law, Total Agent will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of (or inability to use) the service. Our total liability for any claim relating to the service will not exceed the amounts you paid to us in the twelve months before the claim.
9. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the service after an update means you accept the revised Terms.
10. Governing law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules.
